Canadian Gold Hunter Corp. ("CGH" or the "Corporation") was continued under the Canada Business Corporations Act on August 20, 2004. The Corporation is authorized to issue an unlimited number of common shares. The Corporation was originally incorporated under the Company Act (British Columbia) on February 3, 1983 under the name Curator Resources Ltd. as having an authorized capital consisting of 300,000,000 shares divided into (a) 100,000,000 common shares without par value, (b) 100,000,000 Class "A" Preference shares with a par value of $10.00 each, and (c) 100,000,000 Class "B" Preference shares with a par value of $50.00 each.
Effective October 8, 1985, the issued and authorized common shares of the Corporation were consolidated on a one-for-three basis, the name of the Corporation was changed from Curator Resources Ltd. to International Curator Resources Ltd., and the authorized capital of the Corporation was increased from 33,333,333-1/3 post-consolidation common shares to 100,000,000 common shares. Effective May 2, 2000, the authorized capital of the Corporation was increased by the creation of 50,000,000 additional common shares without par value.
In July 2003, the Corporation successfully concluded the takeover of Royal County Minerals Corp. (formerly Consolidated Earth Stewards Inc.), a public company incorporated under the Company Act (British Columbia), by acquiring in excess of 90% of the outstanding common shares of Royal County. Pursuant to the transaction, the Corporation issued four common shares for each common share of Royal County tendered to the offer, 20,564,012 shares in total.
Effective December 23, 2003, the issued and authorized capital of the Corporation was increased to include 500,000,000 common shares and then consolidated on a one-for-five basis; the name of the Corporation was changed from International Curator Resources Ltd. to Canadian Gold Hunter Corp.
